IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, VIA 313'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, VIA 313'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VIA 313 IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations set forth in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if Via 313 has been advised of the possibility of such damages. These limitations reflect a reasonable allocation of risk between you and Via 313 and are a fundamental element of the basis of the bargain between the parties.


10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Via 313 and attempt to resolve any dispute informally. If we are unable to resolve the dispute informally within sixty (60) days of receipt of your notice, either party may proceed to formal dispute resolution.

14.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR YOUR RELATIONSHIP WITH VIA 313 SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION. This agreement to arbitrate is intended to be broadly interpreted.

The arbitration shall be conducted by a recognized arbitration organization such as the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the county or state where Via 313 is located, or by telephone or written submission at your election. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Via 313 agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the arbitration agreement above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights. Claims may also be brought in small claims court where the amount in controversy does not exceed the small claims court jurisdictional limit.


15. Term and Termination

These Terms shall remain in full force and effect for as long as you use or access the Services or maintain an account with Via 313. We reserve the right, in our sole discretion, to:

20. Entire Agreement
